Terms of Service Agreement

This Terms of Service Agreement is entered into between Mysoly E-Learn BV (“Company”, “we”, or “us”) and the user of our services (“you” or “Customer”). By accessing or using our services, you agree to be bound by this Agreement. If you do not agree, please discontinue use of our services immediately.

1. Definitions

1.1 Platform: A platform includes but is not limited to providing a multilingual, communicative, and interactive learning environment both for Instructors and Students.

1.2 Clients: Organizations or enterprises that enter into agreements with the Company to access and utilize our Platform.

1.3 Students: Individuals who use the Platform for learning purposes, including accessing lessons, participating in quizzes, and receiving feedback. This includes but is not limited to individuals using our services to enhance their skills, prepare for certifications, or achieve specific educational goals.

1.4 Instructors: Individuals or entities who use the Platform to create, provide, or manage lessons and educational content. This includes professionals, educators, or organizations responsible for delivering learning materials and monitoring progress.

1.5 Content: Any material, including but not limited to text, images, videos, and other data, uploaded or By uploading content to our services, you grant us a non-exclusive, worldwide license to use, display, and distribute such content generated by Clients, Students, or Instructors while using our Platform, solely to provide and improve the services. Those content can be shown to potential clients for demo and marketing purposes by Company. 

1.6 Mysoly API: The API used to perform AI-powered Large Language Model (LLM) calls and provide feedback.

1.7 Text-to-Speech API: The API that converts text into speech in a multilingual manner to support accessibility and engagement.

1.8 Translation API: The API that translates Student or Instructor inputs into multiple languages for enhanced usability.

1.9 Performance Dashboard: A feature within the Platform that provides analytics and insights on learning progress and engagement.

1.10 Other Tools: Customizable tools within the Platform that allow users to use all platform features in a safe and secure mode. 

1.11 Services: Providing AI-based multilingual and interactive learning and learning management platforms or software for different purposes. 


2. Eligibility

2.1 By using our services, you represent and warrant that your use complies with all applicable laws and regulations.


3. Services Provided

3.1 Smart Classroom Features:

  • AI-powered tools for creating lessons and quizzes.
  • Options for preparing structured courses.
  • Tools for managing Students, classes, and lessons.

3.2 Smart Engagement Features:

  • Virtual class scheduling and event planning.
  • Virtual meetings and discussion boards
  • Automated announcements and multilingual discussion forums.
  • Performance tracking dashboards and certification tools.

3.3 AI Features and Other Tools:

  • Text to Speech API
  • Translation API
  • Mysoly API
  • Other API calls, LLM, and third-party applications provide you better service.

3.4 We reserve the right to modify, enhance, or discontinue any part of our services at our sole discretion, with prior notice to you when feasible.

4. Account and Security

4.1 You are required to create an account to use certain features of our services. All information provided during account creation must be accurate and current.

4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.3 If you suspect unauthorized access to your account, notify us immediately. We are not liable for any losses arising from unauthorized access unless caused by our negligence.


5. Acceptable Use Policy

5.1 You agree to use our services only for lawful purposes and in compliance with this Agreement.

5.2 You shall not:

  • Use the services to upload or distribute malicious software.
  • Violate intellectual property rights of the Company or third parties.
  • Exploit the services to harm others, such as through cyberbullying or harassment.

5.3 Violation of this policy may result in account suspension or termination without notice.


6. Intellectual Property

6.1 All intellectual property rights, including copyrights, trademarks, and patents, related to the services are owned by the Company.

6.2 By uploading content to our services, you grant us a non-exclusive, worldwide license to use such content solely to provide and improve the services.

6.3 You retain ownership of all content you upload, subject to the license granted to Company. However, you are solely responsible for ensuring that the content does not violate any third party intellectual property rights or licensing agreements. Any liability from these violations will be solely with you, the Customer.


7. Fees and Payments

7.1 Some features of our services, such as Mysoly API, Translation API, and Text-to-Speech API, may require payment of fees. All fees are outlined during the subscription or purchase process.

7.2 You agree to pay all applicable fees on time. Failure to do so may result in restricted access to our services.

7.3 Fees are non-refundable unless otherwise stated in this Agreement or required by law.


8. Privacy and Data Protection

8.1 Your use of our services is subject to our Privacy Policy, which outlines how we collect, use, and protect your personal data. We employ masking techniques and utilize all our technical capabilities to prevent sharing your private information with third parties.

8.2 We try to implement the best techniques to protect your private info by masking it before any requests are processed through third parties via our Platform.

8.3 We are committed to safeguarding your data and complying with applicable data protection laws, including GDPR.


9. Liability and Disclaimer

9.1 Our services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including but not limited to fitness for a particular purpose and non-infringement.

9.2 To the extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use our services.

9.3 In any case, our total liability shall not exceed the fees paid by you for the services in the 12 months preceding the claim.


10. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, and employees from any claims, liabilities, damages, or expenses arising from your use of the services, violation of this Agreement, or infringement of any third-party rights.


11. Termination

11.1 We may terminate your account or access to the services for breach of this Agreement or any applicable laws.

11.2 Upon termination, your rights to use the services will cease, and we may delete your account and associated data, subject to applicable laws.


12. Changes to the Agreement

We may update this Agreement from time to time. Changes will be effective upon posting on our website or notifying you via email. Continued use of the services constitutes acceptance of the revised Agreement.


13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Netherlands. Any disputes arising from this Agreement shall be resolved in the courts of Amsterdam.


14. Miscellaneous

14.1 This Agreement constitutes the entire agreement between you and the Company regarding the use of our services.

14.2 If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
