End-User License Agreement (EULA)
This End-User License Agreement (“Agreement”) is a binding contract between you (“User”) and Mysoly Group B.V., together with its subsidiaries Mysoly E-Learn B.V. and Mysoly AI B.V. (“Company”), governing your access to and use of the Company’s digital platforms and related services (“Platform”).
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must not access or use the Platform.
This Agreement should be read together with the Company’s Privacy Statement and Service Agreement, which form an integral part of this Agreement.

1. Definitions
1.1 Platform: The Platform refers to the digital software systems, cloud services, artificial intelligence features, APIs, and related infrastructure operated or managed by the Company, including learning environments, digital training platforms, and related online services.
1.2 User Data: Information provided by the User or generated through the use of the Platform, including account data, learning activity, and platform interactions.
1.3 AI Services: Technologies integrated into the Platform that use artificial intelligence or machine learning, including but not limited to automated feedback, translation, speech synthesis, content generation, and learning assistance.
2. License Grant
The Company grants the User a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Platform in accordance with this Agreement.The Platform may only be used for legitimate educational, professional, or authorized organizational purposes.The User may not sublicense, distribute, or commercially exploit the Platform without prior written permission from the Company.
3. User Rights and Responsibilities
Users may:access and use the Platform for learning or professional purposes participate in courses, digital learning environments, and interactive platform features use AI-assisted features provided by the PlatformUsers are responsible for:maintaining the confidentiality of their account credentials ensuring the accuracy of their account information complying with applicable laws including intellectual property and data protection lawsUsers may not:attempt to reverse engineer, decompile, or disrupt the Platform use the Platform to distribute unlawful, harmful, or infringing content circumvent security measures or access restrictions use automated tools to scrape or extract platform data misuse AI services for unlawful or unethical purposesThe Company may monitor system activity where necessary to maintain platform security and ensure compliance with this Agreement.
4. Data Protection and Privacy
Personal data is processed in accordance with the Company’s Privacy Statement and applicable data protection laws, including the General Data Protection Regulation (GDPR).The Privacy Statement describes how personal data is collected, processed, stored, and protected.

5. Intellectual Property
All intellectual property rights related to the Platform, including software, design, infrastructure, and AI services, remain the exclusive property of the Company or its licensors.User-generated content remains the property of the User. However, the User grants the Company a limited, non-exclusive license to process and display such content solely for the purpose of operating and improving the Platform.The Platform and its components may not be copied, redistributed, modified, or reproduced without prior authorization.
6. AI-Assisted Features
The Platform may include artificial intelligence features designed to support learning, automation, or content generation.AI outputs are generated automatically based on user input and system algorithms. Although the Company strives for accuracy and quality, AI-generated outputs may not always be complete, accurate, or suitable for specific purposes.AI outputs are intended as assistance tools only and should not replace professional judgment or independent verification.The User remains responsible for decisions or actions taken based on AI-generated outputs.
7. Platform Availability
The Platform is provided as a cloud-based service and may rely on third-party infrastructure providers.While the Company aims to maintain reliable and secure services, uninterrupted or error-free operation cannot be guaranteed.The Company may temporarily suspend access to the Platform for maintenance, updates, security measures, or operational improvements.
8. Termination
The Company may suspend or terminate access to the Platform if the User violates this Agreement or uses the Platform in a way that threatens the security, integrity, or availability of the service.Upon termination, user access will be disabled and personal data will be handled in accordance with the Company’s Privacy Statement and applicable legal requirements.
9. Liability of Liability
The Platform and related services are provided on an “as-is” and “as-available” basis.To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages arising from the use of the Platform, including service interruptions, loss of data, or reliance on AI-generated outputs.Where liability cannot be excluded under applicable law, the total liability of the Company shall be limited to the amount paid by the User for Platform services during the twelve months preceding the event giving rise to the claim.
10. Subscription and Cancellation
Access to the Platform may be provided through subscription-based services.Subscriptions may renew automatically unless cancelled prior to the renewal date.Users may cancel subscriptions through the Platform or by contacting support.Cancellation takes effect at the end of the current billing period.Where applicable under EU law, users may be entitled to a statutory cooling-off period for new subscriptions.
11. Service Modifications
The Company reserves the right to modify, update, suspend, or discontinue any part of the Platform, including features, functionality, or AI services, at its discretion.Such modifications may include updates, improvements, security enhancements, changes to system architecture, or replacement of underlying technologies.Where changes materially affect the use of the Platform, the Company will make reasonable efforts to inform Users in advance.Continued use of the Platform after such modifications constitutes acceptance of the updated services.
12. Governing Law
This Agreement is governed by the laws of the Netherlands.Any disputes arising from or related to this Agreement shall be submitted to the competent courts of the Netherlands.
