End-user Agreement

End-User License Agreement (EULA) 

This End-User License Agreement (“Agreement”) is a binding contract between you (“User”) and Mysoly E-Learn BV (“Company”) governing your access to and use of our Learning Management System (“Platform”). By using the Platform, you acknowledge and agree to the terms of this Agreement. If you do not agree, do not access or use the Platform.

For additional details regarding your rights and responsibilities, please refer to our Privacy Statement and Service Agreement, which form an integral part of this Agreement.

1. Definitions

1.1 Platform: A platform includes but is not limited to providing a multilingual, communicative, and interactive learning environment both for Instructors and Students.

1.2 User Data: Personal information and content provided by you or generated through your use of the Platform.

1.3 AI Services: AI-powered features, including translation, text-to-speech, automated feedback, and other machine learning functionalities.

 

 

2. License Grant

The Company grants you a personal, non-exclusive, non-transferable, and revocable license to access and use the Platform in compliance with this Agreement. This license is provided for personal, educational, or authorized organizational purposes only.

 

 

3. User Rights and Responsibilities

3.1 Rights

  • Access and use the Platform for educational purposes.
  • Engage with interactive features, including virtual classes, multilingual content, AI-generated feedback, and certifications.

3.2 Responsibilities

  • Ensure your account information is accurate and kept secure.
  • Use the Platform in compliance with all applicable laws, including GDPR and intellectual property laws.
  • Avoid uploading or sharing content that infringes on third-party rights, violates licensing agreements, or contains harmful or illegal material.

3.3 Prohibited Activities You may not:

  • Reverse-engineer, decompile, or tamper with the Platform.
  • Use the Platform to transmit harmful content or spam.
  • Exploit AI Services for unethical or unlawful purposes.

 

4. Data Privacy and GDPR Compliance

We collect and process User Data in accordance with the General Data Protection Regulation (GDPR). Our Privacy Statement explains how we handle your data, including purposes for processing, data retention, and rights. Please read our privacy statement carefully before accepting this agreement.

 

5. Intellectual Property

5.1 Ownership: All intellectual property in the Platform, including content and AI Services, belongs to the Company or its licensors.

5.2 User-Generated Content: By using the Platform, you grant the Company a non-exclusive, worldwide license to use your content solely to deliver and improve services.

6. AI-Specific Terms

6.1 Transparency: All AI Services are designed to assist Users with educational tasks. Outputs generated by AI are based on user-provided inputs and are not guaranteed to be error-free or unbiased.

6.2 User Responsibility: You acknowledge that decisions made based on AI-generated outputs are your responsibility, and the Company assumes no liability for their use.

 

 

7. Termination

The Company reserves the right to suspend or terminate access to the Platform for any breach of this Agreement. Upon termination, your account will be deactivated, and data retention will follow GDPR-compliant practices as detailed in our Privacy Statement.

 

 

8. Liability and Warranty Disclaimer

8.1 The Platform and AI Services are provided “as is” without warranties of any kind, including fitness for a particular purpose.

8.2 The Company’s liability is limited to the maximum extent allowed by law. In no event shall the Company be liable for indirect, incidental, or consequential damages.

9. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Netherlands. Any disputes arising under this Agreement shall be resolved in the courts of Amsterdam.

 

10. Cancellation and Purchase Rights

10.1 Subscription: The Platform operates on a monthly or yearly subscription model, with a defined cost per user. Subscriptions renew automatically unless canceled prior to the renewal date.

10.2 Cancellation Rights:

  • Users may cancel their subscription at any time through the account settings or by contacting support.

  • Cancellations take effect at the end of the current billing cycle, and no refunds are provided for partial months or years if purchased yearly subscription.

  • Under EU law, Users are entitled to a 14-day cooling-off period for new subscriptions. If services are used during this period, the Company reserves the right to charge for the portion of services used.
