Service Agreement for Institutions
This Service Agreement (“Agreement”) is a legal agreement between [Institution] (“Institution”) and [Mysoly] (“www.mysoly.nl”) governing the use of the [Company’s] online language testing platforms (“nt2oefening.nl, lingodutch.nl) by the Institution’s students. By accessing or using the Service, the Institution acknowledges that it has read, understood, and agrees to be bound by the terms and conditions of this Agreement. If the Institution does not agree to these terms, it may not use the Service.

Use of Service
The Service is intended for use by individuals seeking to test their knowledge of a particular language. The Institution’s students or staff may use the Service only for lawful purposes and in accordance with this Agreement. The Institution’s students or staff may not use the Service for any illegal or unauthorized purpose.
Account Registration Methods
In order to access the Service there are two ways:
- The Institution’s students or staff may be required to register for an account. The Institution agrees to provide the Company with a list of its students or staff who are authorized to use the Service, and to ensure that its students provide accurate and complete information when creating their accounts. The Institution is solely responsible for maintaining the confidentiality of its students’ or staffs’ accounts and passwords, and the Institution agrees to accept responsibility for all activities that occur under its students’ or staffs’
- Another way for registration is sharing login codes with institutions for their students’ or staffs’ use. In this option the company should have to send secured login keys according to the “purchase agreement” or “invoice”. Each secured login key is for one time use with a limited time.
Fees and Payment
The Service may be offered to the Institution at a discounted rate or for a fee. If the Service is offered for a fee, the Institution will be required to pay the applicable fees in order to access the Service. The fees are up to registration method and the total users agreed.
All fees are non-refundable, unless otherwise specified in the purchase agreement or invoice. The Institution agrees to pay all fees and charges incurred in connection with its students’ or staffs’ use of the Service, including any applicable taxes.
Intellectual Property
The Service, including all text, graphics, images, software, and other content, is the property of the Company or its licensors and is protected by copyright and other intellectual property laws. The Institution’s students may not use any content from the Service for any commercial purpose without the express written consent of the Company.
Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. The Company makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service. The Company does not warrant that the Service will be uninterrupted or error-free, and the Company will not be liable for any interruptions or errors. The IT world comes with lots of surprises but the company will take all necessary precautions for making all platforms online 7/24 basis.
Limitation of Liability
The Company will not be liable for any damages of any kind arising from the use of the Service, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
Indemnification
The Institution agrees to indemnify and hold the Company, its affiliates, officers, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the Institution’s students’ use of the Service, their violation of this Agreement, or their violation of any rights of another.
Termination
The Company reserves the right, in its sole discretion, to terminate the Institution’s access to the Service at any time and for any reason, without notice.
Governing Law
This Agreement and the Institution’s use of the Service will be governed by and construed in accordance with the laws of the State of [State], without giving effect to any principles of conflicts of law. Any dispute arising out of or relating to this Agreement or the Service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Miscellaneous
This Agreement constitutes the entire agreement between the Institution and the Company and governs the Institution’s use of the Service, superseding any prior agreements between the Institution and the Company. If any provision of this Agreement is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect. The failure of the Company to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. The Institution may not assign or transfer its rights or obligations under this Agreement without the prior written consent of the Company. This Agreement will inure to the benefit of the Company’s successors and assigns.
Service Agreement for Personal Use
This Service Agreement (“Agreement”) is a legal agreement between you (“User”) and [Mysoly VOF] (“nt2oefening.nl”) (“lingodutch.nl”) governing your use of the [Mysoly’s] online language testing platforms. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you may not use the Service.

You agree to provide accurate and complete information when creating your account, and to update your account information as necessary to keep it accurate and complete. You are solely responsible for maintaining the confidentiality of your account and password, and you agree to accept responsibility for all activities that occur under your account.
